Introduction
Welcome to MAK Africa Legal (“we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your access to and use of our legal advisory, corporate secretarial, commercial, regulatory, and litigation support services (“Services”).
By engaging our Services, visiting our website, or communicating with our firm, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
Services
Legal Advisory & Representation
We provide legal services across corporate, commercial, compliance, dispute resolution, and regulatory matters.
Corporate Secretarial Services
We support clients in entity formation, statutory compliance, corporate governance management, and ongoing company secretarial duties.
Specialized Services
These may include due diligence, contract drafting, insolvency, TIC registration, and other legal mandates applicable to your matter.
Scope of Work
Specific Services will be detailed in an engagement letter, retainer agreement, or written confirmation shared with the client.
We reserve the right to decline or discontinue Services if professional, ethical, or legal obligations require us to do so.
Payment Terms
Fees
Fees for Services are outlined in a formal fee quote, engagement letter, or invoice provided to the client.
Payment Terms
- Payments are due in accordance with the agreed billing schedule.
- Late payments may attract interest or administrative charges.
Refund & Cancellation
Because legal services involve time-based and case-specific work:
For Legal Services
- A written notice is required for termination of the engagement.
- Fees already incurred or work already performed are not refundable.
- Advance fees or deposits may be applied to outstanding work or refunded after deducting administrative and professional charges.
For Corporate Secretarial & Retainer Services
- Cancellation requires 7 days’ written notice.
- Refunds (if applicable) are subject to deductions for work already performed and a 20% administrative fee.
We reserve the right to suspend Services for non-payment.
Client Obligations
Cooperation
Clients must provide accurate information, documentation, and timely instructions to allow effective delivery of Services.
Compliance
Clients must ensure their engagement with our Services complies with applicable Tanzanian laws and ethical requirements and must not request or induce us to act unlawfully.
Intellectual Property
Ownership
All legal opinions, drafts, templates, reports, and materials created by MAK Africa Legal remain our intellectual property.
License
Clients receive a limited, non-transferable license to use documents produced for their matter for internal and lawful purposes only.
No material may be reproduced, distributed, or commercialized without prior written consent.
Confidentiality
Confidential Information
Both parties agree to maintain strict confidentiality regarding all information shared during the engagement.
Exceptions
Confidentiality does not apply to:
- Information already in the public domain
- Information lawfully obtained from a third party
- Disclosures required by law, court order, or regulatory authority
Limitation of Liability
No Warranty
Services are provided on a professional, “as available,” basis without warranties of outcome or results.
Limitation
We are not liable for:
- Indirect, incidental, special, punitive, or consequential damages
- Losses resulting from delays, third-party actions, or circumstances beyond our control
Our liability in any matter is limited to the extent permitted by Tanzanian law.
Termination
Termination by Client
A client may terminate the engagement by submitting a written notice, subject to applicable cancellation terms.
Termination by Us
We may terminate the engagement if:
- The client breaches these Terms
- The client provides fraudulent or misleading information
- Ethical or legal obligations prevent us from continuing
- Payment obligations are not met
Upon termination, the client remains responsible for all fees for work already performed.
Governing Law
These Terms are governed by the laws of the United Republic of Tanzania.
Any interpretation, enforcement, or dispute shall be handled under Tanzanian jurisdiction.
Dispute Resolution
Any dispute arising from or relating to these Terms or our Services shall be resolved through:
- Good-faith negotiation, and if unresolved,
- Mediation or arbitration in Tanzania, subject to applicable legal procedures.
If necessary, matters may be escalated to the High Court of the United Republic of Tanzania.
Amendments
We reserve the right to amend or update these Terms at any time.
Continued engagement with our Services constitutes acceptance of the revised Terms.
